Welcome to Hellorecruiter.ai! These Terms of Use ("Terms" or "Agreement") govern your access to and use of the Hellorecruiter.ai website, platform, and all related services (collectively, the "Services").
These Terms constitute a binding legal agreement between you, as an individual user or a representative of an organization, and Hellorecruiter.ai, Inc. ("Hellorecruiter.ai," "we," "us," or "our"), a Delaware corporation headquartered in Fort Lauderdale, Florida.
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Services.
PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. Acceptance of Terms
1.3. Eligibility. You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement. The Services are not intended for use by children under 16.
1.2. Authority. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such a case, "you" and "your" will refer to that entity.
1.1. Agreement. By clicking "I Agree," "Sign Up," or otherwise accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such notification constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services. These Terms are designed to be stable over time and are subject to change primarily to reflect legal, security, or operational updates.
3. Hellorecruiter.ai Services
3.1. Overview. Hellorecruiter.ai provides an AI-powered talent intelligence and recruitment platform designed to connect job seekers ("Candidates") with potential employers ("Customers").
3.2. For Candidates.
(a) You may create a profile, upload your resume/CV, search for job opportunities, and apply to jobs posted by our Customers.
(b) You understand and agree that by submitting your profile and applying for jobs, your information will be shared with our Customers for recruitment purposes.
(c) While we strive to provide relevant matches, we do not guarantee job placement, interviews, or any specific outcomes from your use of the Services.
(d) All interactions with potential employers are solely between you and the employer. We are not responsible for the hiring decisions or actions of our Customers.
3.3. For Customers (and their Authorized Users).
(a) Your use of the Services is governed by the separate Master Services Agreement (MSA) executed between Hellorecruiter.ai and your organization. These Terms apply to your individual use in conjunction with the MSA.
(b) You represent and warrant that you have the necessary authority to submit data, including Candidate Data, to the Services and that such submission complies with all applicable laws and regulations.
(c) You acknowledge that Hellorecruiter.ai acts primarily as a data processor for Candidate Data provided by your organization, as detailed in the Data Processing Addendum (DPA) within your MSA.
3.4. AI Functionality and Limitations.
(a) The Services incorporate AI functionality to assist with candidate matching, search, and other talent intelligence. Our AI is designed to focus on job-relevant skills and experience, and we are committed to continually working to mitigate bias in our algorithms.
(b) However, AI is not perfect, and you acknowledge that the Services are an assistive tool. All final decisions related to hiring, employment, or candidate selection remain solely with the Customer. Hellorecruiter.ai is not responsible for any discriminatory outcomes or other liabilities arising from Customer's decisions based on or independent of the Services' output.
4. User Accounts
4.1. Account Creation. You agree to provide accurate, current, and complete information during registration and to update it to remain accurate.
4.2. Account Security. You are responsible for safeguarding your password and for all activities under your account. We are not liable for any loss resulting from unauthorized use.
4.3. Prohibited Conduct. You agree not to:
Violate any law;
Impersonate others;
Post harmful or misleading content;
Disrupt the Services;
Use automated tools to overload systems;
Introduce malicious software;
Interfere with others' use of the Services.
5. User Content and Data
5.1. Your Content. You are responsible for any data or content you submit and must have all necessary rights.
5.2. License to Hellorecruiter.ai. You grant us a worldwide, royalty-free license to use Your Content to operate the Services.
5.3. Anonymized Learnings. We may use anonymized and aggregated data to improve our AI models and services. You may opt out by contacting privacy@hellorecruiter.ai.
6. Intellectual Property
All IP in the Services, content, and tools belongs to Hellorecruiter.ai or its licensors. You may not copy, reverse-engineer, or distribute any part of the platform without permission.

8. Third-Party Services and Links
We are not responsible for third-party websites or services linked to from our platform.
9. Disclaimers
The Services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted service or outcomes.
10. Limitation of Liability
Our total liability is limited to $100 or the amount paid to us in the past 12 months. We are not liable for indirect, incidental, or consequential damages.
11. Indemnification
You agree to indemnify Hellorecruiter.ai against any claims arising from your use of the Services, your content, or your breach of these Terms.
12. Governing Law and Dispute Resolution
12.1. Governing Law: Florida law governs these Terms.
12.2. Arbitration: All disputes will be resolved by binding arbitration in Broward County, Florida, under AAA rules.
No class actions allowed.
13. Miscellaneous
13.1. Entire Agreement. These Terms and the Privacy Policy form the full agreement.
13.2. Severability. If one section is invalid, the rest still applies.
13.3. Waiver. Failure to enforce a right doesn't waive it.
13.4. Assignment. You may not transfer these Terms; we may.
13.5. Headings. Are for reference only.
13.6. Survival. Sections 5, 6, 9–12 survive termination.
13.7. Termination. We may suspend access for violations. Beta features may be changed or removed without notice.
13.8. DMCA. Send copyright concerns to legal@hellorecruiter.ai. We honor valid DMCA takedown requests.
13.3. Waiver. Failure to enforce a right doesn't waive it.
